1Acceptance of Terms

Welcome to Mintry. By accessing or using the Mintry platform, website, or any of its services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

Your use of the Service constitutes your acceptance of these Terms and any modifications made to them from time to time. These Terms form a legally binding agreement between you and BLAQclouds, Inc.

2Who Operates the Service

Mintry is operated by BLAQclouds, Inc., a Nevada corporation traded over-the-counter under the ticker OTC: BCDS.

3Description of Mintry

Mintry is a digital ticketing platform that enables event organizers to create, sell, and manage digital tickets for events. The Service includes:

• ▸Digital Tickets — verifiable digital ticket passes for events
• ▸Event Browsing — discover and purchase tickets for upcoming events
• ▸Resale Marketplace — list and purchase resale tickets with creator-controlled price caps
• ▸QR Check-In — secure event entry via QR code verification
• ▸Embedded Wallets — automatic wallet creation for email and SSO users

4Purchases, Delivery & Email

When you complete a purchase, Mintry sends an order confirmation email to the address you provide at checkout, and your digital pass — with its QR code — is available under My Passes. All email from the platform is transactional (order confirmations, receipts, ticket delivery, sign-in links, and required account notices). We do not send marketing or newsletter email, and we do not sell or share our email list.

It is your responsibility to provide a working email address you can access. If a confirmation email does not arrive, check your spam folder for noreply@mintry.io or contact support@mintry.io.

5Eligibility and Account Registration

You must be at least 18 years of age to use the Service. By using Mintry, you represent and warrant that you are 18 or older and have the legal capacity to enter into these Terms.

Mintry supports three authentication methods:

• ▸SIWE (Sign-In with Ethereum) — connect a Web3 wallet such as MetaMask
• ▸Email Magic Link — receive a sign-in link via email; an embedded wallet is created automatically
• ▸Social SSO — sign in with Google or Apple; an embedded wallet is created automatically

For email and SSO users, Mintry creates an embedded wallet automatically. You can export your private key and save your seed phrase at any time from your Profile page (Security tab). You are responsible for maintaining the security of your wallet and authentication credentials.

6Digital Tickets

Digital Tickets are digital passes that grant access to specific events. When you purchase a Digital Ticket, it is associated with your wallet address and can be verified via QR code at the event.

Digital Tickets may be resold on the marketplace subject to the event creator's resale policy, which may include price caps, resale cutoffs, and soulbound restrictions. The platform fee is 2.5% and creator royalties may apply on resale transactions.

7Embedded Wallets

For users who sign in via email or social SSO, Mintry creates an embedded wallet using ethers.Wallet.createRandom(). The private key is encrypted with AES-256-GCM and stored in our database. You can export your private key and save your seed phrase at any time.

You are responsible for the safekeeping of your private key and seed phrase. If you lose access to your wallet and have not exported your key, you may lose access to your Digital Tickets. BLAQclouds, Inc. is not responsible for lost or inaccessible wallet credentials.

8Prohibited Conduct

You agree not to:

• ✕Purchase tickets with stolen or fraudulent payment methods
• ✕Counterfeit or duplicate tickets
• ✕Use bots or automated tools to purchase tickets in bulk
• ✕Harass, abuse, or threaten other users, organizers, or staff
• ✕Use the Service for any illegal or unauthorized purpose

9Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, either express or implied. BLAQclouds, Inc. does not warrant that the Service will be uninterrupted, error-free, secure, or that any event will proceed as scheduled. You use the Service at your own risk.

10Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall BLAQclouds, Inc. be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.

The aggregate liability of BLAQclouds, Inc. for all claims shall not exceed the greater of (a)$100 or (b) the amount you have paid to BLAQclouds, Inc. for the Service in the 12 months preceding the claim.

11Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada. Any disputes shall be resolved in the state or federal courts located in Nevada.

12Changes to Terms

BLAQclouds, Inc. may modify these Terms at any time. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
